Agreement With Cymis
These Terms form an agreement between you and Cymis Benefit Corporation ("Cymis"), which operates Adagio. References to "Adagio," "we," "us," or "our" mean Cymis.
Service Overview
Adagio provides a visual interface and related tools for building, saving, sharing, and running bioinformatics pipelines. The editor is intended to remain free to use. A free account may be required to save pipelines. Payment may be required when users run pipelines through the graphical user interface.
Accounts
You are responsible for keeping your account credentials secure and for activity under your account. You must provide accurate account information and promptly tell us if you believe your account has been compromised.
Your Content And Data
You retain ownership of pipeline specs, uploaded data, outputs, and related content you submit to Adagio. You grant Adagio permission to host, process, copy, transmit, and display that content as needed to provide and secure the service.
Research Use
Adagio is research software. It is not intended to provide medical advice, clinical diagnosis, treatment recommendations, or regulated clinical decision support. You are responsible for validating workflows, parameters, outputs, and downstream conclusions.
AI-Assisted Pipeline Work
If you authorize an AI integration, you direct Adagio to provide the requested pipeline and catalog information to that provider. AI-generated pipeline suggestions can be incomplete or inappropriate for your data. You remain responsible for reviewing action selection, parameters, compatibility, validation, and scientific conclusions before saving or running a pipeline. The first public integration does not execute pipelines or inspect local files.
Payments For Graphical Runs
Before a paid graphical pipeline run begins, Adagio will present the applicable pricing, taxes, usage limits, cancellation rules, failed-run handling, refund terms, and billing-provider details. Local CLI execution and exported pipeline files are separate from paid graphical execution.
Acceptable Use
You must follow the Acceptable Use Policy. You may not use Adagio to violate the law, infringe others' rights, attack systems, distribute malware, mine cryptocurrency, process data you are not authorized to process, or bypass usage and security controls.
Availability And Changes
Adagio is under active development. The service may change, degrade, or become temporarily unavailable. We may update features, policies, limits, prices, and supported workflows as the product evolves.
Termination
We may suspend or terminate access if needed to protect Adagio, other users, service providers, or the public, or if we believe these terms or the acceptable use rules have been violated.
Warranty Disclaimer
To the fullest extent permitted by law, Adagio is provided "as is" and "as available." Cymis disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Cymis does not warrant that Adagio will be uninterrupted, error-free, or secure, or that pipeline results will be accurate or suitable for your purposes. This disclaimer does not apply to warranties that cannot legally be disclaimed.
Limitation Of Liability
To the fullest extent permitted by law, Cymis will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising from or related to Adagio or these Terms, even if Cymis knew those damages were possible.
Subject to the exceptions below, Cymis's total liability for all claims arising from or related to Adagio or these Terms will not exceed the greater of USD $100 or the amount you paid to Cymis for Adagio during the 12 months preceding the event giving rise to the claim.
These exclusions and the liability cap do not apply to liability caused by Cymis's fraud, gross negligence, or willful misconduct, or to liability that cannot legally be excluded or limited.
Governing Law And Disputes
These Terms and disputes arising from them or the service are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. You and Cymis consent to the exclusive jurisdiction and venue of the state and federal courts located in Arizona. Before filing a claim, please contact root@cym.is so that we can try to resolve the dispute informally.
